Apollo Companion is an early beta founded and built by Marco Flores Melchor. Apollo Companion is owned and operated by Apollo Phoenix Ventures LLC. You're being invited as a trusted tester. These Terms protect the project while it grows — please read them; they're short by legal standards.
These Beta Terms of Service ("Terms") are an agreement between you ("you," "User," or "Tester") and Apollo Phoenix Ventures LLC ("we," "us," or "our") governing your access to and use of Apollo Companion, including its web application, AI assistant ("Apollo Chat"), Vehicle Brain systems, research and decision-intelligence systems, Parts Hub, 3D vehicle visualization, Community social platform, builder profiles, parts price tracking, and all related software, content, and services (collectively, the "Service"). Apollo Companion is owned and operated by Apollo Phoenix Ventures LLC, a Texas limited liability company.
By creating an account, accessing, or using the Service, you accept these Terms in full. If you do not agree, do not use the Service.
The Service is provided as pre-release beta software. It is under active development and may contain defects, errors, incomplete features, and behaviors that change or disappear without notice. You acknowledge that:
Access to the beta is personal, non-transferable, and by invitation only. You must be at least 18 years old (or the age of majority in your jurisdiction) and capable of entering a binding agreement. You may not share, lend, sell, or transfer your account or invitation. We may grant, limit, or revoke access at our sole discretion, with or without cause or notice.
The Service is operated from the United States. If you access the Service from outside the United States, you do so on your own initiative and are responsible for compliance with the laws of your own jurisdiction, including local data-protection, consumer, and vehicle-modification laws.

You are solely responsible for all activity under your account.
The Service uses artificial intelligence (including third-party large language models) to generate responses, recommendations, extractions, summaries, research syntheses, price estimates, build analyses, and other content ("AI Output").

Apollo Companion is automotive-focused software. All vehicle decisions remain entirely your responsibility. You acknowledge and agree that:
Nothing in the Service constitutes professional advice of any kind — including mechanical, engineering, legal, financial, insurance, or safety advice. AI Output and Service content do not create any professional-client relationship. Consult qualified professionals (mechanics, engineers, attorneys, insurers) before acting on anything the Service provides.
Apollo Companion includes a social community platform where users may create posts, comments, reactions, builder profiles, and photos of their vehicles, parts, and builds visible to other users. By submitting content to the community ("User Content"), you:
You may not post content that is unlawful, harassing, hateful, sexually explicit, or in violation of third-party intellectual property rights. We reserve the right to remove any content that violates these Terms or our Community Guidelines at our sole discretion, without prior notice. Enforcement actions may include content removal, suspension, or permanent account termination. Parts prices and vendor data displayed through the parts tracker are sourced from publicly available third-party pages and may be inaccurate — verify before purchasing.
During the beta, the Service collects and processes:
Encryption and retention: data is encrypted in transit (TLS) and at rest by our infrastructure providers. We do not sell your data. Beta data may be migrated or transformed as the product evolves. You may request deletion of your account data at any time via the contact in Section 23.
We apply reasonable security measures (encrypted webhook storage, row-level data isolation, server-side key handling), but no beta product can guarantee security. You must not store sensitive personal information (government IDs, financial credentials, health data) in the Service. If you discover a vulnerability, report it privately via Section 23 — do not test, exploit, or disclose it. Security testing of any kind without prior written authorization is prohibited.
The Service — including all source code, software architecture, the Apollo and Apollo Companion names and logos, branding, visual identity, UI/UX systems and designs, the Vehicle Brain systems, Apollo Chat systems and personality, research and decision-intelligence systems, capture and extraction workflows, prompts, data structures, documentation, and all other proprietary materials — is owned and operated by Apollo Phoenix Ventures LLC and is protected by copyright, trademark, and other intellectual property laws. Apollo Companion was founded and created by Marco Flores Melchor.
No ownership transfer occurs under these Terms. You receive only a limited, revocable, non-exclusive, non-transferable license to use the Service for personal beta testing while these Terms remain in effect. All rights not expressly granted are reserved. Your own build data remains yours; you grant us a limited license to host and process it solely to operate the Service.
You may not, directly or indirectly:
Your own builds are yours to share. You are welcome — encouraged, even — to post photos and screenshots of your vehicle, parts, and progress to social media (Instagram, TikTok, forums — anywhere), to share them in the Community, and to tell people about your experience with Apollo Companion. That's what the platform is for.
What we ask you to keep confidential is limited to our non-public business and technical information, specifically: unreleased features or designs that we identify as confidential, internal workflows, technical and architectural details, known security issues, and roadmap information. Please do not publicly post those specifics, share them with competitors, or contact press about them before we announce them.
This confidentiality obligation is limited to information that is genuinely non-public. It does not restrict your own build content, general positive or negative sentiment about the Service, or anything that has become public through an authorized release. It survives termination of these Terms only as to information that remains non-public.
We want your feedback — that's the point of the beta. You agree that any feedback, suggestions, ideas, bug reports, or improvement proposals you provide are voluntary and unrestricted, and that Apollo Phoenix Ventures LLC may use, implement, modify, and commercialize them without compensation, attribution, or obligation to you. You assign to Apollo Phoenix Ventures LLC all rights in such feedback to the extent permitted by law.
We may suspend or terminate your access at any time, with or without cause or notice, including for violation of these Terms. You may stop using the Service at any time and may request account deletion. Upon termination: your license ends immediately; Sections 5–7, 10–13, and 15–21 survive — including, for clarity, your intellectual property obligations (Section 10), use restrictions (Section 11), and confidentiality obligations (Section 12); and we may retain or delete your data in accordance with Section 8.
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTY OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED BY LAW, APOLLO PHOENIX VENTURES LLC DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, RELIABILITY, AND UNINTERRUPTED OR ERROR-FREE OPERATION. NO ORAL OR WRITTEN INFORMATION OBTAINED FROM US OR THE SERVICE CREATES ANY WARRANTY.
TO THE MAXIMUM EXTENT PERMITTED BY LAW: (a) APOLLO PHOENIX VENTURES LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST DATA, VEHICLE DAMAGE, COST OF SUBSTITUTE GOODS, OR PERSONAL INJURY ARISING FROM OR RELATED TO THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY; AND (b) THE TOTAL AGGREGATE LIABILITY OF APOLLO PHOENIX VENTURES LLC FOR ALL CLAIMS ARISING FROM THESE TERMS OR THE SERVICE SHALL NOT EXCEED FIFTY U.S. DOLLARS (US $50) OR THE AMOUNT YOU PAID FOR THE SERVICE IN THE PRECEDING TWELVE MONTHS, WHICHEVER IS GREATER. THIS CAP REFLECTS THAT THE BETA IS PROVIDED FREE OF CHARGE AND THAT THE PARTIES HAVE ALLOCATED RISK ACCORDINGLY. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES OR WARRANTIES; IN THOSE JURISDICTIONS, THE ABOVE EXCLUSIONS AND THE CAP APPLY ONLY TO THE FULLEST EXTENT PERMITTED BY LAW, AND LIABILITY THAT CANNOT LAWFULLY BE LIMITED IS NOT LIMITED.
You agree to indemnify, defend, and hold harmless Apollo Phoenix Ventures LLC, Marco Flores Melchor, and their successors from and against any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising from: (a) your use or misuse of the Service; (b) your vehicle modifications, purchases, or related decisions; (c) your violation of these Terms; or (d) your violation of any law or third-party right.
Apollo Companion is intended to become a commercial product. You acknowledge that: the beta may end at any time; future versions may be paid, feature-gated, or offered under different terms; beta access grants no right to free or discounted access to any future version; and features you test may change or be removed before commercial release. Nothing in these Terms limits the right of Apollo Phoenix Ventures LLC to commercialize the Service, its systems, or improvements derived from beta feedback.
You agree not to use, export, re-export, or transfer the Service in violation of applicable export-control laws and regulations, including those of the United States. You represent that you are not located in, under the control of, or a national or resident of any jurisdiction subject to a comprehensive embargo, and that you are not on any government restricted-party list.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, YOU AND APOLLO PHOENIX VENTURES LLC AGREE THAT ANY DISPUTE ARISING FROM THESE TERMS OR THE SERVICE WILL BE BROUGHT IN THE PARTIES' INDIVIDUAL CAPACITY ONLY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING. YOU WAIVE ANY RIGHT TO PARTICIPATE IN A CLASS ACTION RELATING TO THE SERVICE.
This waiver's enforceability may vary by jurisdiction, including outside the United States. Where it is found unenforceable in whole or in part, it applies to the fullest extent permitted by the law of that jurisdiction, and the remainder of these Terms remains in effect.
These Terms are governed by the laws of the State of Texas, United States, without regard to conflict-of-law principles. Any dispute arising from these Terms or the Service shall be resolved exclusively in the state or federal courts located in El Paso County, Texas, and you consent to their jurisdiction and venue. If any provision is held unenforceable, the remainder remains in effect. These Terms are the entire agreement regarding the beta and supersede prior discussions. We may update these Terms; continued use after notice of changes constitutes acceptance.
